3. User Accounts  To access certain features of the Services, you may be required to create an account.  You agree to:  Provide accurate, complete, and up-to-date information.  Maintain the confidentiality of your login credentials.  Be responsible for all activities conducted through your account.  Notify us immediately of any unauthorized access to or use of your account.  We reserve the right to suspend or terminate accounts that violate these Terms. 

4. Acceptable Use  You agree to use the Services only for lawful purposes.  You must not:  Use the Services for any unlawful, fraudulent, or harmful activity.  Upload malicious software, viruses, or other harmful code.  Attempt to gain unauthorized access to our systems or other user accounts.  Interfere with the security, integrity, or performance of the Services.  Reverse engineer, copy, modify, or distribute any part of the Services except as permitted by applicable law. 

5. User Content  You retain ownership of all information, photographs, voice recordings, and other content you upload to Spacium.  You grant Spacium a worldwide, non-exclusive, royalty-free licence to host, process, store, and display your content solely for the purpose of providing, maintaining, securing, and improving the Services.  You are responsible for ensuring that your content does not infringe the rights of any third party and complies with applicable laws. 

6. Artificial Intelligence Features  Spacium uses artificial intelligence to help organise and retrieve information.  While we strive to provide accurate results, AI-generated responses may occasionally be incomplete or inaccurate. Users should independently verify important information before relying on it. 

7. Subscriptions and Payments  Certain features of the Services may require a paid subscription.  If you purchase a subscription:  Payments will be processed by the applicable app marketplace or authorised payment provider.  Subscription fees are charged according to the selected plan.  Unless cancelled before renewal, subscriptions automatically renew.  Refunds are subject to the policies of the applicable payment provider, including the Apple App Store or Google Play Store. 

8. Intellectual Property  All intellectual property rights in the Services, including software, trademarks, logos, graphics, text, and designs (excluding user content), are owned by or licensed to Spacium.  Nothing in these Terms transfers ownership of any intellectual property rights to you. 

10. Availability of the Services  We aim to provide reliable access to the Services but do not guarantee uninterrupted or error-free operation.  We may modify, suspend, or discontinue any part of the Services at any time. 

11. Third-Party Services  The Services may include links to or integrations with third-party services.  Spacium is not responsible for the content, availability, or privacy practices of third-party services. 

12. Limitation of Liability  To the maximum extent permitted under New Zealand law, Spacium shall not be liable for any indirect, incidental, consequential, exemplary, or special damages arising out of or relating to the use of the Services.  Where liability cannot be excluded under applicable law, our liability will be limited to the maximum extent permitted by law.  To the extent permitted by law, our total aggregate liability arising out of these Terms shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.  Nothing in these Terms excludes or limits any rights or remedies that cannot be excluded under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other applicable New Zealand legislation. 

13. Indemnity  You agree to indemnify and hold harmless Spacium, its directors, employees, contractors, and affiliates from any claims, losses, liabilities, damages, and expenses arising from:  Your breach of these Terms;  Your misuse of the Services; or  Your violation of any law or third-party rights. 

14. Termination  We may suspend or terminate your account if you breach these Terms or use the Services in a manner that may harm Spacium or other users.  You may stop using the Services and delete your account at any time. 

15. Disclaimer  The Services are provided on an "as is" and "as available" basis.  To the fullest extent permitted by law, Spacium disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. 

16. Governing Law  These Terms are governed by the laws of New Zealand.  Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of New Zealand, unless otherwise required by applicable law. 

17. Changes to These Terms  We may update these Terms from time to time.  Where changes are material, we will publish the updated Terms on our website and update the Effective Date. Continued use of the Services after the revised Terms become effective constitutes acceptance of those changes.
